1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of the websites located at sndbx.gg and any related subdomains, mobile experiences, and the SNDBX programs, camps, leagues, tournaments, parties, coaching services, merchandise, and related offerings (collectively, the "Services") provided by SNDBX Inc., its operating subsidiaries, and affiliates (collectively, "SNDBX," "we," "us," or "our").
By accessing the Services, creating an account, registering a participant, or purchasing any product or program, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.
If you are registering a minor or purchasing on behalf of a minor, you represent that you are the parent or legal guardian of that minor, that you have the authority to enter into these Terms on the minor's behalf, and that you accept these Terms for yourself and for the minor.
2. Eligibility
Adults. You must be at least 18 years old to create an account, make a purchase, or enter into these Terms.
Minor Participants. SNDBX programs are designed for youth participants, typically ages 7–17 ("Participants"). Participants under 18 may only be enrolled by a parent or legal guardian, who is responsible for: (a) reading and accepting these Terms; (b) completing any required participant intake, waiver, and media release forms; (c) ensuring the Participant meets any age, skill, or behavioral requirements posted for a given program; and (d) all conduct, payments, and other obligations of the Participant under these Terms.
Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at admin@sndbx.gg of any unauthorized use.
3. Our Services
SNDBX operates youth gaming and character-development programs, including camps, leagues, tournaments, private parties, and coaching, primarily conducted inside partner movie theater venues and through related online and digital activities. The specific dates, times, locations, age ranges, capacity limits, equipment provided, games played, and pricing for each program are described on the relevant product page at sndbx.gg.
SNDBX is the program operator. The theater or other physical venue at which a program is conducted is operated by an independent third party. Venue rules, safety policies, and any venue-specific terms apply in addition to these Terms while you or a Participant are on venue premises.
We may modify, suspend, or discontinue any portion of the Services at any time. We will make reasonable efforts to notify registered participants of material changes to a program in which they are enrolled and to offer a credit, transfer, or refund as appropriate.
4. Registration, Pricing & Payment
Pricing. All prices are displayed in U.S. dollars at the time of purchase. Prices may change at any time, but changes will not affect orders already confirmed.
Payment. Payment is processed at the time of registration through Shopify and its payment partners (including but not limited to Stripe, Shop Pay, Apple Pay, Google Pay, and PayPal). By submitting payment information, you authorize SNDBX and its payment partners to charge the full amount of your order.
Recurring Charges. Some programs (such as multi-month leagues or memberships) may be offered on a recurring or installment basis. If you enroll in a recurring program, the payment method on file will be charged on the schedule disclosed at checkout until you cancel in accordance with these Terms.
Taxes. Florida and any applicable local sales tax will be added at checkout where required.
Errors. We reserve the right to correct any pricing or product description errors and to cancel any order placed in reliance on incorrect information, with a full refund of amounts paid.
5. Cancellations, Refunds & Transfers
By You — Camps and Single-Session Programs. You may cancel and receive:
- A full refund if you cancel at least 14 days before the program start date.
- A 50% refund or full credit toward a future SNDBX program if you cancel 7–13 days before the program start date.
- No refund if you cancel less than 7 days before the program start date, except in cases of documented medical emergency at our discretion.
By You — Leagues, Memberships, and Recurring Programs. You may cancel a recurring enrollment at any time effective at the end of the then-current billing period. Charges already incurred are non-refundable, but the Participant retains access through the period paid for.
By You — Parties and Private Events. Deposits for parties and private events are non-refundable. Final balances may be transferred to a future date once with at least 14 days' notice.
By SNDBX. If we cancel a program (for example, due to insufficient enrollment, venue unavailability, weather, illness, or other circumstances), you will receive a full refund or, at your election, a credit toward a future program of equal or greater value.
Transfers. Subject to availability, you may transfer a Participant's registration to a different session, location, or eligible family member at no charge with at least 7 days' notice. Transfers requested within 7 days of the program start date are subject to a $25 transfer fee and availability.
No-Shows. Participants who fail to attend a program for which they are registered without prior notice are not entitled to a refund or credit.
6. Code of Conduct
SNDBX exists to develop better-rounded young people. We expect every Participant, parent, guardian, and visitor to behave accordingly. By using the Services, you agree that you and your Participant will:
- Treat coaches, staff, other Participants, family members, and venue staff with respect.
- Follow all instructions from SNDBX staff and venue personnel.
- Refrain from harassment, bullying, slurs, threats, intimidation, or any form of discriminatory conduct, online or in person.
- Refrain from cheating, exploiting, hacking, or otherwise tampering with games, equipment, or the Services.
- Refrain from possessing or using alcohol, illegal drugs, weapons, or any prohibited items on venue premises.
- Refrain from damaging or misusing equipment, venue property, or the property of others.
- Comply with the age-appropriate content guidelines for each program. Some games used in SNDBX programs carry an ESRB or platform age rating; by enrolling a Participant in a program, the parent or guardian represents that the Participant is permitted to play those games.
We reserve the right, in our sole discretion, to warn, suspend, remove, or permanently ban any Participant or guest who violates this Code of Conduct or whose conduct we determine threatens the safety, well-being, or experience of others. Removal for conduct violations does not entitle you to a refund.
7. Health, Safety & Pickup
Health Information. You agree to disclose any medical conditions, allergies, medications, dietary restrictions, behavioral conditions, or accommodations relevant to a Participant's safe participation on the intake form provided at registration. You agree to update this information promptly if it changes.
Illness. Do not bring a Participant to a SNDBX program if they have a fever, contagious illness, or other symptoms that would create a health risk to staff or other Participants.
Emergency Care. In the event of injury or illness during a program, you authorize SNDBX staff to provide reasonable first aid and, if needed in the judgment of staff, to seek emergency medical care for the Participant at your expense. We will make reasonable efforts to contact the parent or guardian on file as soon as practical.
Pickup. Participants under 18 may only be released to the parent or guardian who registered them or to an individual specifically authorized in writing on the intake form. SNDBX reserves the right to require photo identification at pickup.
Background Checks. SNDBX staff who interact directly with Participants are subject to background screening as required by Florida law and SNDBX policy.
8. Media Release
By enrolling a Participant or attending a SNDBX program, you grant SNDBX a perpetual, royalty-free, worldwide, non-exclusive license to photograph, video record, and audio record the Participant and yourself, and to use such recordings and any derivative materials in marketing, advertising, social media, website, fundraising, sponsor reporting, and other promotional materials of SNDBX and its affiliates, sponsors, and partners.
We will not identify a Participant by full name in publicly distributed marketing materials without separate written consent. If you do not wish for a Participant's likeness to be used, you must opt out in writing at admin@sndbx.gg before the program begins. Opting out may not be possible for incidental capture in group photos or wide shots of program activities.
9. Third-Party Games, Platforms & Venues
SNDBX programs make use of third-party games, gaming platforms, consoles, and online services (for example, Roblox, Minecraft, Fortnite, Nintendo Switch Online, Xbox Live, PlayStation Network, Discord, Steam, and others). Each of these has its own terms of service, privacy policy, content policies, and age requirements. SNDBX does not control these platforms and is not responsible for their content, availability, fees, account suspensions, in-game purchases, or data practices. You and your Participant are responsible for complying with the terms of any third-party platform used.
SNDBX programs are conducted inside third-party theater and venue partners. Such venues are operated independently. Venue rules apply on venue premises. SNDBX is not responsible for venue conditions, food and beverage purchased at the venue, parking, or other venue services.
10. Intellectual Property
The Services and all content provided by SNDBX, including but not limited to the name "SNDBX," the tagline "Character development. Both kinds.," logos, marks, designs, photos, videos, curriculum, coaching materials, schedules, software, and other materials, are the property of SNDBX or its licensors and are protected by U.S. and international copyright, trademark, and other laws. You receive no ownership rights by using the Services.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials except as expressly permitted by these Terms or with our prior written consent. Personal, non-commercial use of materials we make publicly available on sndbx.gg is permitted.
11. User Content
You may have the opportunity to submit content to the Services or to SNDBX (for example, photos, reviews, social media posts tagging SNDBX, or feedback). By submitting User Content, you grant SNDBX a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media.
You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not violate the rights of any third party or any law. We may remove User Content at any time for any reason.
12. Communications & Marketing
By providing your email address or phone number, you consent to receive transactional messages from SNDBX (for example, registration confirmations, schedule changes, and pickup reminders). With your additional opt-in, you may also receive marketing communications. You may opt out of marketing communications at any time using the unsubscribe link in email or by replying STOP to any text message. Standard message and data rates may apply.
13. Assumption of Risk
Gaming and esports activity, including programs conducted in person, involves inherent risks. These risks include, without limitation: eye strain, fatigue, headaches, repetitive-strain or musculoskeletal discomfort, photosensitive seizure response in susceptible individuals, slips and trips in venue spaces, exposure to other Participants who may be contagious, exposure to age-rated game content within posted ratings, and online interactions with other players or platforms outside SNDBX's control.
You understand and voluntarily accept these risks on behalf of yourself and any Participant you enroll. You agree to consult a physician before enrolling any Participant with a known seizure disorder, photosensitive condition, or other condition that could be aggravated by screen-based or active play.
14. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranty arising from a course of dealing or usage of trade.
SNDBX does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components, that any defects will be corrected, or that any particular outcome (skill development, ranking, social benefit, or otherwise) will result from participation in any program.
15. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will SNDBX, its officers, directors, employees, contractors, coaches, affiliates, sponsors, or venue partners be liable to you or any Participant for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for lost profits, lost data, personal injury, emotional distress, or other intangible losses, arising out of or in connection with the Services or these Terms, even if SNDBX has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total cumulative liability of SNDBX to you or any Participant for any and all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid SNDBX in the six (6) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be limited by law.
16. Release (Adult Participants Only) & Acknowledgment
For Participants 18 and over: in consideration of being permitted to participate, you, on behalf of yourself and your heirs, release SNDBX and its affiliates, officers, directors, employees, contractors, coaches, sponsors, and venue partners from any claim arising out of your participation in any SNDBX program, except claims arising from gross negligence or willful misconduct.
For minor Participants: a separate Parent / Guardian Acknowledgment and Participation Agreement will be provided at intake. Florida law limits the enforceability of pre-injury releases signed by a parent on behalf of a minor for commercial recreational activities; the parent acknowledgment is intended to confirm informed consent, communicate program risks, document supervisory expectations, and is not intended to waive any non-waivable right of the minor.
17. Indemnification
You agree to indemnify, defend, and hold harmless SNDBX and its affiliates, officers, directors, employees, contractors, coaches, sponsors, and venue partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your or your Participant's use of the Services; (b) your or your Participant's violation of these Terms; (c) your or your Participant's violation of any law or the rights of any third party; or (d) any User Content you submit.
18. Governing Law & Dispute Resolution
Governing Law. These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. The federal and state courts located in Indian River County, Florida have exclusive jurisdiction over any dispute not subject to arbitration under this Section, and you consent to personal jurisdiction in those courts.
Informal Resolution. Before filing any formal claim, you agree to first contact us at admin@sndbx.gg and provide a written description of the dispute and your proposed resolution. We will attempt in good faith to resolve the matter within 30 days of receipt.
Arbitration (Optional — Confirm with Counsel). Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will, at the election of either party, be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in or near Indian River County, Florida. Each party will bear its own attorneys' fees. Class action waiver and jury trial waiver clauses should be reviewed and finalized by Florida counsel before publication.
Statute of Limitations. Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arose, or be permanently barred.
19. Modifications to These Terms
We may update these Terms at any time. The "Last updated" date at the top will reflect the most recent revision. Material changes will be communicated by email to account holders and by notice on sndbx.gg. Your continued use of the Services after the effective date of a change constitutes acceptance of the revised Terms.
20. Termination
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, with or without notice, including for violation of these Terms or our Code of Conduct. Sections that by their nature should survive termination (including Sections 10, 14–18, and 21) will survive.
21. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any program-specific intake forms, constitute the entire agreement between you and SNDBX regarding the Services and supersede all prior agreements.
Severability. If any provision is held invalid or unenforceable, the remaining provisions will continue in full force.
No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. SNDBX is not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, fire, flood, hurricane, pandemic, government action, venue closure, internet or platform outages, or strikes.
Headings. Section headings are for convenience only and have no legal effect.
